Effective as of 6 October 2025
These terms and conditions form an integral part of all agreements, orders, and deliveries executed by Nobilis World ApS (“the Seller”), particularly relating to the sale, delivery, and contracts for plants, decorative branches, and products made from such materials.
The terms become binding upon the Seller’s confirmation of the Buyer’s order or issuance of an invoice.
Any amendments, supplements, or deviations must be made in writing (by e-mail) to be valid.
All orders must be sent exclusively to: info@nobilis.world.
The Seller’s offers do not constitute offers within the meaning of civil law.
All offers are valid while stocks last.
An order becomes binding only after written confirmation by the Seller.
Any changes to the quantity, type, or delivery date require written approval from the Seller.
If the Buyer fails to collect the goods within the agreed time, the Seller is entitled, at its sole discretion, to:
demand payment and collection of the goods by the Buyer, or
sell the goods to a third party at a freely determined price.
The prices of goods are defined in the Seller’s current Price List and are quoted net (excluding transport costs).
The Seller reserves the right to adjust prices during the season.
Prices quoted in EUR may be converted into local currency based on the exchange rate valid on the date of invoicing.
The Price List remains valid until 31 December of the given calendar year or until a new Price List is issued.
Wholesale prices apply to purchases exceeding EUR 20,000.
Standard payment terms: 100% prepayment, unless otherwise agreed by both parties.
In case of delayed payment, the Seller is entitled to charge statutory interest for late payment.
If there is a risk of the Buyer’s insolvency, the Seller may suspend deliveries and demand immediate payment of all outstanding amounts.
Delivery is deemed completed when the goods are loaded onto the Buyer’s means of transport or leave the Seller’s plantation.
From the moment of loading, the risk of loss or damage passes to the Buyer.
The Seller shall provide appropriate personnel and equipment for loading at the agreed time; the loading process should not exceed five (5) hours from the vehicle’s arrival.
If a full truckload is not reached, the Seller may combine multiple customers’ orders into one shipment, which may result in a minor delay.
Force majeure events (weather conditions, natural disasters, strikes, breakdowns, or transport restrictions) release the Seller from any liability for delays and from the obligation to deliver if fulfillment becomes impossible.
The Seller is not liable for any damage caused by the Buyer’s failure to collect the goods on time (e.g. overheating or spoilage on pallets).
The goods remain the property of the Seller until full payment has been received.
From the moment of delivery, the Buyer bears the risk of loss or damage to the goods.
If payment is not made within the agreed period, the Seller has the right to demand the immediate return of the goods.
Upon such return, the Seller may claim compensation for any depreciation or damage to the goods.
Product descriptions reflect typical characteristics of the goods. Minor variations in size, colour, or texture are permissible.
The Seller is not responsible for the condition of the goods after delivery if proper transport, storage, or handling conditions are not maintained by the Buyer.
Any complaints must be submitted within 24 hours of delivery to info@nobilis.world, accompanied by photographic documentation.
If the complaint is accepted, the Seller may, at its discretion, replace the goods with non-defective ones or refund the amount paid.
Filing a complaint does not suspend the Buyer’s obligation to pay for the goods.
The Seller accepts no liability for indirect losses, loss of profit, or operational damages.
Once the goods have been resold, the Buyer loses the right to file any complaint against the Seller.
Both parties shall endeavour to resolve any disputes amicably.
If no agreement can be reached, the competent court shall be the Danish court having jurisdiction over the Seller’s registered office.
The applicable law is Danish law.
This document is issued in both English and Polish. In the event of discrepancies, the English version shall prevail.
